Terms of Service

1. Definitions

• “Account” means the account you create to access the Platform, including all associated settings, configurations, and data.
• “Client Website” means the auto-generated, custom-branded website deployed by ScaleYourJunk on your behalf as part of your subscription.
• “Content” means all text, images, photos, audio, video, data, and other materials uploaded to, generated by, or transmitted through the Platform by you or your End Users.
• “End Users” means your customers, employees, drivers, and any other individuals who interact with the Platform through your Account, including via the Customer Portal, Driver App, or Client Website.
• “AI Phone Agent” means the automated voice assistant provisioned to your Account that answers incoming calls, books appointments, and handles inquiries on your behalf.
• “Platform” means the ScaleYourJunk software-as-a-service platform, including the operator dashboard, customer portal, driver app, client website, AI phone agent, automated workflows, APIs, and all related services.
• “Subscription” means your active, paid subscription to a ScaleYourJunk plan (Starter or Growth).
• “Subscription Fees” means the recurring fees charged to you for your Subscription, as set forth in Section 5.

2. Description of the Platform

ScaleYourJunk is an all-in-one operating system for junk removal and dumpster rental businesses. The Platform provides:

• Operator Dashboard — A web-based control center for managing jobs, leads, customers, fleet, finances, dispatching, scheduling, reporting, and settings.
• Client Website — An auto-generated, SEO-optimized, custom-branded website deployed on a ScaleYourJunk subdomain (e.g., yourcompany.scaleyourjunk.com) with item-select booking, pricing display, and lead capture.
• Customer Portal — A mobile-friendly portal where your customers can view active jobs, pay invoices, manage dumpster rentals, and track live job status.
• Driver App — A PIN-authenticated mobile application for field crews to manage shifts, update job statuses, collect payments, capture photos, obtain signatures, and communicate with customers.
• AI Phone Agent — An AI-powered voice agent provisioned with a dedicated phone number that answers calls, books appointments, manages existing appointments, and quotes dumpster rental pricing on your behalf.
• Automated Workflows — Scheduled processes that run automatically, including follow-ups, payment reminders, review requests, and operational planning (availability varies by plan).
• Integrations — Connections to third-party services including Stripe, Google Business Profile, Google Calendar, Google Maps, Zapier, QuickBooks, and Dumpsters.com.

ScaleYourJunk reserves the right to modify, update, or discontinue any feature or functionality of the Platform at any time, with or without notice. We will use commercially reasonable efforts to notify you of material changes.

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years of age and capable of forming a legally binding contract to use the Platform. The Platform is designed for use by businesses operating in the junk removal and/or dumpster rental industry. By registering, you represent that you operate such a business or intend to do so.

3.2 Account Creation

To use the Platform, you must complete our onboarding process and provide accurate, current, and complete information, including your business name, address, phone number, email address, services offered, and service areas. You agree to update this information promptly if it changes.

3.3 Account Security

You are solely responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. This includes activities by your employees, drivers, and any other individuals to whom you grant access. You agree to immediately notify ScaleYourJunk of any unauthorized use of your Account or any other breach of security.

3.4 Team Members and Roles

The Platform supports multiple user roles (Owner, Admin, Dispatcher, Finance, CSR, Driver, Viewer). You are responsible for assigning appropriate roles and access levels to your team members. ScaleYourJunk is not liable for any actions taken by team members with access you have granted.

4. Acceptable Use

4.1 Permitted Use

You may use the Platform solely for the purpose of operating, managing, and growing a legitimate junk removal and/or dumpster rental business.

4.2 Prohibited Conduct

You agree not to:

1. Use the Platform for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation;
2. Transmit any Content that is fraudulent, misleading, defamatory, obscene, threatening, harassing, or otherwise objectionable;
3. Use the AI Phone Agent or SMS messaging features to send spam, unsolicited messages, or communications in violation of the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, or any other applicable telecommunications or marketing law;
4. Interfere with, disrupt, or attempt to gain unauthorized access to the Platform, its servers, networks, or any accounts belonging to other subscribers;
5. Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform;
6. Resell, sublicense, or redistribute access to the Platform to any third party without our prior written consent;
7. Use the Platform to collect, store, or process sensitive personal information such as Social Security numbers, driver's license numbers, financial account numbers, or health information, except as reasonably necessary for normal business operations (e.g., processing payments through Stripe);
8. Upload or transmit any malware, viruses, or other harmful code through the Platform;
9. Use automated means (bots, scrapers, crawlers) to access the Platform, except through our published APIs and integrations;
10. Exceed the usage limits of your subscription tier, including truck limits, staff limits, or feature restrictions;
11. Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.

4.3 Enforcement

ScaleYourJunk reserves the right to investigate and take appropriate action against any violations of this section, including without limitation, removing Content, suspending or terminating your Account, and reporting violations to law enforcement authorities.

5. Subscription Plans, Fees, and Payment

5.1 Subscription Plans

ScaleYourJunk offers the following subscription plans:

• Starter Plan — $149 per month (or $119 per month when billed annually). Includes up to 2 trucks, AI Phone Agent during business hours, core dashboard features, client website, customer portal, driver app, and basic reporting.
• Growth Plan — $299 per month (or $239 per month when billed annually). Includes everything in Starter plus unlimited trucks, 24/7 AI Phone Agent, all 13 automated workflows, advanced reporting, roster management, incident tracking, marketing campaigns, route optimization, and additional features as described on our pricing page.

Plan details, features, and pricing are subject to change. We will provide at least 30 days' notice of any price increases to existing subscribers.

5.2 Billing

Subscription Fees are billed in advance on a monthly or annual basis, depending on your selected billing interval. Your billing cycle begins on the date you subscribe and renews automatically on the same date each month (or year, for annual plans).

5.3 Payment Method

You must provide a valid payment method (credit card or debit card) through our payment processor, Stripe. You authorize ScaleYourJunk to charge your payment method for all Subscription Fees and any applicable taxes. You are responsible for keeping your payment method current.

5.4 Failed Payments

If a payment fails, we will attempt to charge your payment method again. If payment is not received within 7 days of the due date, we may suspend your access to the Platform. If payment is not received within 30 days, we may terminate your Account. You remain liable for all unpaid fees.

5.5 Taxes

All fees are exclusive of applicable taxes. You are responsible for all sales taxes, use taxes, value-added taxes, and any other taxes imposed by any governmental authority in connection with your use of the Platform, except for taxes based on ScaleYourJunk's net income.

5.6 No Refunds

All Subscription Fees are non-refundable, except as expressly set forth in these Terms or as required by applicable law. If you cancel your subscription, you will retain access to the Platform through the end of your current billing period, but no refund will be issued for the remaining period.

5.7 No Per-User Fees

ScaleYourJunk does not charge per-user fees. Your Subscription Fee covers all team members and roles within the limits of your selected plan.

6. No Contracts — Cancellation and Termination

6.1 No Long-Term Contracts

ScaleYourJunk subscriptions operate on a month-to-month or annual basis. There are no long-term contracts, setup fees, or cancellation penalties.

6.2 Cancellation by You

You may cancel your subscription at any time through Settings → Billing in your dashboard. Upon cancellation:

1. Your access to the Platform will continue through the end of your current billing period;
2. Your Client Website will be taken offline at the end of your billing period;
3. Your AI Phone Agent will be deactivated at the end of your billing period;
4. All automated workflows will cease at the end of your billing period;
5. You will have 30 days after the end of your billing period to export your data (see Section 7.3);
6. After the 30-day data retention period, your data will be permanently deleted.

6.3 Termination by ScaleYourJunk

We may suspend or terminate your Account immediately, without prior notice or liability, if:

1. You breach any provision of these Terms;
2. Your payment method is declined and remains unresolved for 30 or more days;
3. You engage in activity that is harmful to ScaleYourJunk, other subscribers, or third parties;
4. We are required to do so by law or legal process;
5. We reasonably believe your Account is being used for fraudulent or illegal purposes.

6.4 Effect of Termination

Upon termination for any reason:

1. Your right to access and use the Platform ceases immediately (or at the end of your billing period, in the case of voluntary cancellation);
2. Any outstanding fees become immediately due and payable;
3. Sections 7 (Data), 10 (Intellectual Property), 12 (Limitation of Liability), 13 (Indemnification), 14 (Dispute Resolution), and 16 (General Provisions) shall survive termination.

7. Data Ownership and Handling

7.1 Your Data

You retain all ownership rights in the Content and data you upload to or generate through the Platform (“Your Data”). This includes customer records, job records, financial data, photos, signatures, communications, and any other business data.

7.2 License to ScaleYourJunk

By uploading Your Data to the Platform, you grant ScaleYourJunk a limited, non-exclusive, worldwide, royalty-free license to use, process, store, transmit, and display Your Data solely for the purpose of providing, maintaining, and improving the Platform. This license terminates when Your Data is deleted from the Platform.

7.3 Data Export

You may export Your Data at any time through Settings → System → Data Export. Available export formats include CSV. We will maintain your data for 30 days following cancellation or termination to allow you to complete your export.

7.4 Data Deletion

After the 30-day post-cancellation retention period, Your Data will be permanently and irreversibly deleted from our systems, including all backups. ScaleYourJunk is not responsible for any loss of data after this period.

7.5 Aggregate and Anonymized Data

ScaleYourJunk may collect, use, and disclose aggregated and anonymized data derived from your use of the Platform for any purpose, including research, analytics, product improvement, benchmarking, and marketing. Such data will not identify you, your business, or any individual.

7.6 AI Processing

The AI Phone Agent processes voice calls using third-party AI services. Voice data is processed in real-time and is not stored or used for training purposes. Call summaries (not recordings) may be logged to your dashboard for operational reference.

8. SMS Communications

The ScaleYourJunk platform enables SMS and MMS messaging to be sent to your customers from phone numbers provisioned through the Platform. These messages may include appointment confirmations, reminders, crew notifications, invoices, review requests, and other operational communications that you choose to enable through your dashboard settings.

You are the sender of record for all SMS messages sent from your assigned phone number, whether triggered automatically by Platform features you have enabled or sent manually through the dashboard. ScaleYourJunk acts solely as the technology provider facilitating message delivery.

You are responsible for obtaining prior express consent from your customers before any SMS messages are sent on your behalf. You agree to comply with all applicable laws and regulations governing SMS communications, including the Telephone Consumer Protection Act (TCPA) and A2P 10DLC carrier requirements. Failure to maintain proper consent records or comply with applicable messaging regulations may result in suspension of SMS capabilities on your account.

9. Client Website

9.1 Website Deployment

As part of your subscription, ScaleYourJunk will generate and deploy a custom-branded website on a ScaleYourJunk subdomain (e.g., yourcompany.scaleyourjunk.com). The website content is derived from information you provide during onboarding and through your dashboard settings.

9.2 Website Content

You are solely responsible for the accuracy of all information displayed on your Client Website, including business name, pricing, service descriptions, service areas, and contact information. ScaleYourJunk does not independently verify the accuracy of this information.

9.3 Subdomain

The subdomain assigned to your Client Website is owned by ScaleYourJunk and is provided to you for the duration of your active subscription. Upon cancellation or termination, the subdomain will be reclaimed and the website taken offline.

9.4 Custom Domains

If you configure a custom domain for your Client Website, you are responsible for domain registration, DNS configuration, and renewal. ScaleYourJunk is not responsible for domain expiration, misconfiguration, or any related issues.

10. Intellectual Property

10.1 ScaleYourJunk IP

The Platform, including all software, code, algorithms, designs, interfaces, documentation, and trademarks, is the exclusive property of ScaleYourJunk LLC and is protected by copyright, trademark, trade secret, and other intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to use the Platform in accordance with these Terms. No other rights are granted.

10.2 Your IP

You retain all intellectual property rights in Your Data, your business name, your logo, and your brand materials. By uploading these to the Platform, you grant ScaleYourJunk the limited license described in Section 7.2.

10.3 Feedback

If you provide suggestions, ideas, or feedback about the Platform (“Feedback”), you grant ScaleYourJunk a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Platform without any obligation or compensation to you.

11. Third-Party Services and Integrations

11.1 Third-Party Services

The Platform integrates with and relies upon third-party services, including but not limited to Stripe (payments), Google Business Profile, Google Calendar, Google Maps, Zapier, QuickBooks, and Dumpsters.com. Your use of these third-party services is subject to their respective terms of service and privacy policies.

11.2 Payment Processing

All payment processing is handled by Stripe. ScaleYourJunk does not directly store credit card numbers or sensitive payment information. Your use of Stripe is governed by the Stripe Connected Account Agreement and Stripe's Terms of Service.

11.3 No Warranty for Third-Party Services

ScaleYourJunk does not control and is not responsible for the availability, accuracy, or reliability of any third-party service. We are not liable for any loss or damage caused by the failure, interruption, or error of any third-party service.

12. Disclaimers and Limitation of Liability

12.1 “As Is” Basis

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SCALEYOURJUNK DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12.2 AI Disclaimer

THE AI PHONE AGENT IS AN AUTOMATED SYSTEM THAT MAY OCCASIONALLY PROVIDE INACCURATE, INCOMPLETE, OR INAPPROPRIATE RESPONSES. SCALEYOURJUNK DOES NOT GUARANTEE THE ACCURACY OF ANY INFORMATION PROVIDED BY THE AI PHONE AGENT. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND VERIFYING ALL BOOKINGS, QUOTES, AND INFORMATION GENERATED BY THE AI PHONE AGENT. SCALEYOURJUNK IS NOT LIABLE FOR ANY DAMAGES ARISING FROM RELIANCE ON AI-GENERATED INFORMATION.

12.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

1. IN NO EVENT SHALL SCALEYOURJUNK, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITIES, LOSS OF GOODWILL, OR COST OF PROCUREMENT OF SUBSTITUTE SERVICES, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, EVEN IF SCALEYOURJUNK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES;
2. SCALEYOURJUNK'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT OF SUBSCRIPTION FEES PAID BY YOU TO SCALEYOURJUNK DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12.4 Essential Basis

YOU ACKNOWLEDGE THAT THE LIMITATIONS OF LIABILITY IN THIS SECTION ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND SCALEYOURJUNK, AND THAT SCALEYOURJUNK WOULD NOT PROVIDE THE PLATFORM WITHOUT THESE LIMITATIONS.

13. Indemnification

You agree to indemnify, defend, and hold harmless ScaleYourJunk LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

1. Your use of the Platform or any activity under your Account;
2. Your Content or Your Data;
3. Your violation of these Terms;
4. Your violation of any applicable law, rule, or regulation, including but not limited to the TCPA, CAN-SPAM Act, OSHA regulations, EPA regulations, or any state or local waste disposal or hauling regulations;
5. Your violation of any third party's rights, including intellectual property rights, privacy rights, or contractual rights;
6. Any claim by your End Users, customers, employees, or contractors arising from their use of or interaction with the Platform;
7. Any inaccurate information you provide through the Platform, including pricing, service descriptions, or business information displayed on your Client Website.

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

14.2 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact ScaleYourJunk at legal@scaleyourjunk.com and attempt to resolve the dispute informally for at least 30 days.

14.3 Binding Arbitration

If the dispute cannot be resolved informally, you and ScaleYourJunk agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform (collectively, “Disputes”) shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Fort Bend County, Texas, or, at the election of either party, may be conducted remotely via video conference.

14.4 Class Action Waiver

YOU AND SCALEYOURJUNK AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

14.5 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights.

14.6 Prevailing Party

In any arbitration or legal proceeding arising under these Terms, the prevailing party shall be entitled to recover its reasonable attorneys' fees and costs from the other party.

15. Communications

15.1 Electronic Communications

By creating an Account, you consent to receive electronic communications from ScaleYourJunk, including emails regarding your Account, subscription, billing, and service updates. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.

15.2 SMS Communications

For information regarding SMS communications sent through the Platform on your behalf to your customers, please refer to our SMS Terms and Conditions.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, and SMS Terms, constitute the entire agreement between you and ScaleYourJunk regarding the Platform and supersede all prior agreements, understandings, and representations.

16.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

16.3 Waiver

The failure of ScaleYourJunk to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your Account without ScaleYourJunk's prior written consent. ScaleYourJunk may assign these Terms without restriction.

16.5 Force Majeure

ScaleYourJunk shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, government action, power outages, internet or telecommunications failures, or third-party service outages.

16.6 Modifications

ScaleYourJunk reserves the right to modify these Terms at any time. We will notify you of material changes by posting a notice on the Platform or sending an email to the address associated with your Account at least 30 days before the changes take effect. Your continued use of the Platform after the effective date of any modifications constitutes your acceptance of the modified Terms.

16.7 Notices

All notices to ScaleYourJunk shall be sent to: legal@scaleyourjunk.com. Notices to you will be sent to the email address associated with your Account.
